By accessing and placing an order with VidiEdge Pty Ltd ("VidiEdge", "us", "we", or "our"), a private company registered in South Africa, you confirm that you are in agreement with and bound by the terms of service contained in these Terms & Conditions. These terms apply to the entire website and any email or other type of communication between you and VidiEdge.

Under no circumstances shall the VidiEdge team be liable for any direct, indirect, special, incidental or consequential damages, including but not limited to loss of data or profit, arising out of the use, or the inability to use, the materials on this site, even if VidiEdge or an authorized representative has been advised of the possibility of such damages. If your use of materials from this site results in the need for servicing, repair or correction of equipment or data, you assume any costs thereof.

VidiEdge will not be responsible for any outcome that may occur during the course of usage of our resources. We reserve the right to change prices and revise the resources usage policy at any moment.

License

VidiEdge grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the app strictly in accordance with the terms of this Agreement.

You are agreeing to be bound by these Terms & Conditions. If you do not agree, please do not use the VidiEdge Service. "You" refers both to you as an individual and to the entity you represent. If you violate any of these Terms & Conditions, we reserve the right to cancel your account or block access without notice.

Thanks for shopping at VidiEdge. As with any shopping experience, terms and conditions apply to transactions at VidiEdge. By placing an order or making a purchase, you agree to these terms along with VidiEdge's Privacy Policy. If, for any reason, you are not completely satisfied with any good or service we provide, please contact us and we will discuss the issue with you.

Your Suggestions

Any feedback, comments, ideas, improvements or suggestions provided by you to VidiEdge with respect to the app shall remain the sole and exclusive property of VidiEdge, free to use, copy, modify, publish or redistribute for any purpose without credit or compensation to you.

VidiEdge uses "Cookies" to identify the areas of our app that you have visited. We use Cookies to enhance performance and functionality, though they are non-essential to core use — without them, certain functionality like video playback may become unavailable, or you may need to log in every visit. We never place Personally Identifiable Information in Cookies.

Changes To Our Terms & Conditions

VidiEdge may stop providing the Service, permanently or temporarily, to you or to users generally, at its sole discretion and without prior notice. If we change these Terms & Conditions, we will post the changes on this page and/or update the modification date.

Modifications and Updates to Our App

VidiEdge reserves the right to modify, suspend or discontinue the app or any connected service, with or without notice and without liability to you. VidiEdge may from time to time provide enhancements or improvements, including patches, bug fixes, updates and upgrades ("Updates"). VidiEdge has no obligation to provide Updates or continue any particular feature.

Third-Party Services

We may display, include or make available third-party content or provide links to third-party websites or services. VidiEdge shall not be responsible for any Third-Party Services, including their accuracy, completeness, legality or quality, and assumes no liability to you or any other party for them.

Term and Termination

This Agreement remains in effect until terminated by you or VidiEdge. VidiEdge may, in its sole discretion, suspend or terminate this Agreement at any time, with or without prior notice, including immediately upon your failure to comply with any provision. You may terminate this Agreement by deleting the app and all copies from your device.

Copyright Infringement Notice

If you believe any material on our app infringes your copyright, please contact us with: a signature of the copyright owner or authorized agent; identification of the infringing material; your contact information; a good-faith statement that use of the material is unauthorized; and a statement of accuracy made under penalty of perjury.

Indemnification

You agree to indemnify and hold VidiEdge and its affiliates, officers, employees, agents, partners and licensors harmless from any claim arising out of your use of the app, violation of this Agreement or any law, or violation of any third-party right.

No Warranties

The app is provided "AS IS" and "AS AVAILABLE" with all faults, without warranty of any kind, to the maximum extent permitted by law. VidiEdge does not warrant that the app will meet your requirements, operate without interruption, or be error-free.

Limitation of Liability

The entire liability of VidiEdge and any of its suppliers, and your exclusive remedy, shall be limited to the amount actually paid by you for the app. To the maximum extent permitted by law, VidiEdge shall not be liable for any special, incidental, indirect or consequential damages.

Severability & Waiver

If any provision of this Agreement is held unenforceable, the remaining provisions continue in full force and effect. No waiver of any term shall be deemed a continuing waiver of that or any other term. Any cause of action arising out of the Services must commence within one (1) year after it accrues, or it is permanently barred.

Amendments and Entire Agreement

VidiEdge reserves the right to modify or replace this Agreement at any time; material revisions will be notified at least 30 days in advance. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and VidiEdge regarding your use of the app.

Intellectual Property

The app and its entire contents, features and functionality are owned by VidiEdge, its licensors or other providers, and are protected by South African and international intellectual property laws. Material may not be copied, modified, reproduced or distributed without express prior written permission.

Agreement to Arbitrate & Notice of Dispute

Any dispute between you and VidiEdge concerning the Services (excluding claims for injunctive relief regarding intellectual property rights) will be resolved through informal negotiation first. If unresolved within sixty (60) days, either party may commence binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.

Submissions, Promotions & Typographical Errors

Any ideas, suggestions or materials you submit become the sole property of VidiEdge without compensation. Promotions may be governed by separate rules. In the event a product or service is listed at an incorrect price due to typographical error, VidiEdge reserves the right to refuse or cancel the order.

Miscellaneous

VidiEdge operates and controls the Service from its offices in South Africa. The Service is not intended for use in any jurisdiction where such use would be contrary to law. These Terms & Conditions, together with the Privacy Policy, contain the entire understanding between you and VidiEdge.
